Terms of Service

1. Applicability

These terms and conditions apply to all services offered by Webzley ("we", "us", "our"). By using our services, you agree to these terms.

2. Services

Webzley offers the following services:

• Web development and design
• Backend development and APIs
• Cloud hosting and infrastructure
• SEO optimisation
• Maintenance and support

The specific services, deliverables and prices are set out in a separate quote or agreement.

3. Quotes and Agreements

All quotes are valid for 30 days unless otherwise stated. An agreement is established when you accept our quote in writing or make an advance payment. Changes in scope may lead to adjustments in price and delivery time.

4. Prices and Payment

All prices are exclusive of VAT unless otherwise stated. Payment must be made according to the agreed payment terms:

• 50% advance payment at project start
• 50% upon delivery (unless otherwise agreed)
• Payment term: 14 days after invoice date

In the event of late payment, we reserve the right to charge statutory interest and collection costs.

5. Delivery Time

We strive to deliver all projects within the agreed timeframe. Delivery times are indicative and may be affected by:

• Delays in content or feedback delivery by the client
• Changes in project scope
• Technical limitations or unforeseen circumstances

6. Intellectual Property

Upon full payment, the intellectual property rights of the final product are transferred to the client, with the exception of:

• Open source code frameworks and libraries
• Reusable components and templates we have developed
• Third-party software and tools

We reserve the right to display the project in our portfolio unless otherwise agreed in writing.

7. Warranty and Liability

We guarantee that our services are performed professionally and competently. We offer:

• 30-day warranty on bugs and technical issues after delivery
• Free repair of errors attributable to our work

Our liability is limited to the amount of the agreement. We are not liable for indirect damage, loss of profit or consequential damage.

8. Cancellation

Cancellation of a project is possible under the following conditions:

• Cancellation before commencement: advance payment refunded minus 10% administration costs
• Cancellation during the project: payment for work already performed
• Cancellation by Webzley: full refund of advance payments

9. Hosting and Maintenance

Separate agreements with their own terms apply to hosting and maintenance services. These include:

• Monthly or annual payments
• 99.9% uptime guarantee (where technically possible)
• Regular backups and security updates
• 30-day notice period

10. Confidentiality

We treat all business information and project details confidentially. We will not share sensitive information with third parties without your explicit consent, except where legally required.

11. Governing Law

These terms and conditions are governed by Belgian law. Disputes will be submitted to the competent court in the jurisdiction of Antwerp.
